Affiliate Program Terms

These Affiliate Program Terms (the “Affiliate Terms”) are an agreement between VERACO LLC (“CoServe,” “we”) and the person or entity that joins the CoServe affiliate program (the “Affiliate,” “you”). By creating an affiliate account or sharing a referral link, you accept these Affiliate Terms and, to the extent applicable, our Terms of Service and Privacy Policy.

1. The program

When you join, you receive a unique referral code and link. When a visitor uses your link, we record the click and set a referral cookie. If a business referred through your link creates an account and completes its first paid subscription checkout, the referral is recorded as a conversion attributed to you.

2. Commissions

• You earn a one-time commission of 20% of the referred business’s first subscription payment (excluding taxes, credits, one-time purchases, refunds, and chargebacks), unless we agree to different terms in writing.
• Attribution requires that the referral cookie or code is present at signup and that the referred business is a new CoServe customer. Where multiple affiliates could claim a referral, the most recent referral link used before signup wins.
• Commissions become payable after the referred payment has cleared and is beyond its refund and chargeback window. If the payment is refunded, disputed, or found fraudulent, the commission is void and may be deducted from future payouts.
• Payouts are sent to the payout email on your affiliate profile on our then-current schedule. We may set a minimum payout threshold and may require tax documentation (for example a W-9 or W-8) before paying. You are responsible for your own taxes.

3. Conduct rules

You must not:

• Self-refer — use your own link (or a link of anyone acting with you) for your own account, an account you control, or an existing customer.
• Engage in cookie stuffing, forced clicks, iframe or pixel injection, typosquatting, trademark bidding on “CoServe” or misspellings in paid search, or misrepresenting your relationship with CoServe (you may describe yourself as an independent affiliate, not as CoServe, an employee, or an exclusive agent).
• Make false, unsubstantiated, or misleading claims about the Service, including guaranteed results, earnings, or savings, or offer unauthorized rebates or incentives.
• Promote via spam of any kind — unsolicited email, texts, calls, or messages — or on sites containing unlawful, deceptive, hateful, or adult content.
• Fail to disclose your material connection to CoServe as required by the FTC’s Endorsement Guides (a clear and conspicuous disclosure such as “I may earn a commission” near your referral link) and equivalent laws in your jurisdiction.

4. Our rights

We may audit referral activity, withhold or reverse commissions we reasonably determine result from a violation of these Affiliate Terms or from fraud, and suspend or terminate affiliate accounts at any time for violation, inactivity, or program changes. We may modify or discontinue the program (including commission rates, prospectively) at any time; changes do not affect commissions already earned. Referral tracking depends on cookies and identifiers that can be blocked or cleared, and we are not liable for referrals that cannot be tracked. Our records of clicks, signups, and conversions are determinative absent manifest error.

5. Relationship, liability, and general

You are an independent contractor, not an employee, agent, or partner of CoServe, and you have no authority to bind us. THE PROGRAM IS PROVIDED “AS IS”; to the maximum extent permitted by law our total liability under these Affiliate Terms is limited to the commissions payable to you for the six (6) months before the claim arose. You will indemnify us against claims arising from your promotional activities or your breach of these Affiliate Terms. These Affiliate Terms are governed by the laws of the State of Delaware, and disputes are resolved as set out in the Terms of Service (including individual arbitration and the class-action waiver). We may update these Affiliate Terms by posting the updated version with a new “Last updated” date; continued participation constitutes acceptance.
